Agreement to Terms
By accessing and using MapSorix's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, please do not use our services.
Our Services
MapSorix provides professional software development, AI and machine learning solutions, data analytics, cloud infrastructure services, and technology consulting. Our services include but are not limited to:
- Custom software development and application design
- AI-powered solutions and machine learning implementations
- Data analytics and business intelligence services
- Cloud infrastructure setup and DevOps consulting
- Digital transformation and technology strategy consulting
- Ongoing maintenance and technical support
We reserve the right to modify, suspend, or discontinue any part of our services at any time. Active projects will be completed according to existing agreements.
Project Agreements
Each project engagement is governed by a separate written agreement that outlines the specific scope of work, deliverables, timelines, payment terms, and intellectual property rights. These Terms of Service complement but do not supersede individual project agreements. In case of conflict, the specific project agreement takes precedence.
Intellectual Property Rights
Website Content: All content, features, and functionality on our website, including but not limited to text, graphics, logos, and software, are owned by MapSorix and protected by international copyright, trademark, and intellectual property laws.
Project Deliverables: Intellectual property rights for project deliverables are determined by individual project agreements. Typically:
- Custom code developed specifically for a client project is transferred to the client upon full payment
- Pre-existing tools, frameworks, and methodologies remain the property of MapSorix
- Third-party software and libraries are subject to their respective licenses
- Source code access and rights are defined in project agreements
MapSorix retains the right to use general knowledge, skills, and experience gained during projects, and may showcase completed work in our portfolio unless confidentiality agreements specify otherwise.
Payment Terms
Payment terms are specified in individual project agreements. Standard terms include:
- Project deposits may be required before work commences
- Milestone-based payments are due upon completion of specified deliverables
- Invoices are payable within 30 days unless otherwise agreed
- Late payments may incur interest charges and project suspension
- All fees are in Canadian Dollars (CAD) unless otherwise specified
Clients are responsible for any third-party costs including hosting, licenses, and external services.
Refund and Cancellation Policy
Cancellation: Either party may terminate a project agreement with written notice. The client is responsible for payment of all work completed up to the termination date.
Refunds: Refunds for services already rendered are generally not provided. However, we are committed to client satisfaction and will work to resolve any concerns. Deposits for projects not yet started may be refunded at MapSorix's discretion.
Project Changes: Significant changes to project scope may require agreement amendments and additional fees. Minor adjustments within the original scope are accommodated when reasonable.
Client Responsibilities
When engaging our services, clients agree to:
- Provide accurate, complete, and timely information required for project completion
- Maintain the confidentiality of any account credentials or access information
- Respond to requests for feedback, approvals, and information in a timely manner
- Use our services and deliverables only for lawful purposes
- Ensure all necessary permissions and licenses are obtained for content provided to us
- Not engage in any activity that interferes with or disrupts our services
- Provide access to necessary systems, accounts, and resources as needed
Delays caused by client unresponsiveness may result in project timeline extensions and potential additional costs.
Confidentiality
MapSorix respects client confidentiality and will not disclose confidential information shared during our engagement without prior written consent. For projects requiring heightened confidentiality, separate Non-Disclosure Agreements (NDAs) can be executed. We implement reasonable security measures to protect client data and project information.
Warranties and Disclaimers
Service Warranty: We warrant that services will be performed in a professional manner consistent with industry standards. For development projects, we provide a warranty period (typically 30-90 days post-delivery) for bug fixes related to the original specifications, as outlined in project agreements.
Disclaimer: Beyond the warranties explicitly stated in project agreements, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We strive to deliver high-quality solutions but cannot guarantee that software will be error-free, uninterrupted, or meet all specific requirements beyond the agreed scope. Third-party integrations and services are subject to their own terms and availability.
Limitation of Liability
To the fullest extent permitted by applicable law, MapSorix's total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim.
MapSorix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or business interruption
- Cost of substitute services or technology
- Damages resulting from third-party services or integrations
- Damages arising from client's failure to backup data
These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.
Indemnification
Clients agree to indemnify and hold harmless MapSorix and its employees from any claims, damages, losses, and expenses (including legal fees) arising from: (a) client's use of deliverables; (b) client's violation of these terms; (c) content and materials provided by the client; or (d) client's violation of any third-party rights.
Force Majeure
MapSorix shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet or utility failures, or pandemics. In such cases, project timelines may be extended accordingly.
Dispute Resolution
In the event of any dispute arising from these terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, the parties may pursue mediation before resorting to litigation.
Any legal action must be brought within one (1) year of the cause of action arising. Both parties consent to the exclusive jurisdiction of the courts in Saskatchewan, Canada.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any legal proceedings must be conducted in English.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent, or severed if modification is not possible. The remaining provisions shall remain in full force and effect.
Entire Agreement
These Terms of Service, together with any project-specific agreements and our Privacy Policy, constitute the entire agreement between you and MapSorix regarding the use of our services, superseding any prior agreements or understandings, whether written or oral.
Changes to Terms
MapSorix reserves the right to modify these Terms of Service at any time. Material changes will be communicated by posting the updated terms on this page with a revised "Last updated" date. For significant changes affecting existing agreements, we will make reasonable efforts to notify clients directly. Continued use of our services after changes constitutes acceptance of the modified terms.
